Our pipeline of work is strong and growing fast. We’re looking for a Senior Associate to join our close-knit, high-performing team and deliver top-tier corporate and commercial legal services alongside two former top-tier firm Principals.
Your Role:
You will work closely with our Principals —both highly experienced and approachable—with the autonomy to manage your own matters and contribute meaningfully to the firm.
Key responsibilities include:
- Managing business and asset sale and purchase transactions from end-to-end.
- Assisting with share sale and purchase transactions, with guidance from a Principal;.
- Drafting and negotiating key documents including term sheets, heads of agreement, consultancy agreements, assignment and novation documents, disclosure letters and a wide variety of commercial contracts.
- Advising on and preparing shareholder agreements, unitholder agreements, loan and security documents, and trust deeds.
- Mentoring and developing junior lawyers and graduates.
- Participating in client relationship development and business-building activities.
About You:
We pride ourselves on the quality of our work, and we’re looking for someone who shares our commitment to excellence and client service and brings:
- At least 6 years’ experience PQE in corporate and commercial law.
- Strong working knowledge of relevant Australian commercial laws, including the Corporations Act and the PPSA.
- Experience advising on corporate governance issues, including directors’ duties and agreements between shareholders and other company stakeholders.
- Experience advising on finance agreements, security documentation and creditor priority issues.
- Experience advising on the formation and alteration of corporate structures.
- Exceptional drafting and negotiation skills.
- Experience in mentoring and training junior lawyers.
- Interest in building client relationships and participating in business development activities.
