A rare opportunity has arisen to join a values driven leader in the Aged Care sector in South Gippsland. Carinya Lodge seeking an experienced Company Secretary and Executive Assistant to join our team. This pivotal role provides governance leadership and executive coordination that supports the Board, CEO, and Executive Committee to deliver on our mission of providing quality care, dignity, and respect to older Australians.

About the Role

Reporting directly to the Chief Executive Officer, this position combines corporate governance responsibilities with high-level executive support. The role ensures the organisation’s governance systems, Board processes, and compliance frameworks meet the expectations of the Aged Care Quality and Safety Commission and other regulatory bodies, while enabling efficient executive operations.

You’ll work closely with the CEO, Board, and senior leadership team to coordinate governance meetings, prepare and manage documentation, and maintain systems that support transparency, compliance, and effective decision-making.

Summary:

Key Responsibilities

  • Manage the BoardEffect governance portal and coordinate all Board and Committee documentation.
  • Prepare, format, and distribute agendas, papers, and minutes for the Board, Committees, and working groups.
  • Support governance compliance by maintaining registers, policies, and audit documentation.
  • Coordinate Board surveys, Skills Matrix, and governance reviews.
  • Manage updates to the Governance, Policy, and Management System (GPMS) and track governance actions.
  • Support committees such as the Finance, Audit and Risk Committee (FARC), Quality and Consumer Advisory Board (QCAB), and the Consumer Advisory Body (CAB).
  • Provide comprehensive executive assistance to the CEO and senior management, including calendar management, meeting coordination, and confidential correspondence.
  • Draft executive and governance documents including reports, briefings, and presentations.
  • Ensure effective communication and workflow coordination across the executive office.

About You You’re an experienced governance professional who thrives in a structured, busy environment and takes pride in accuracy, confidentiality, and proactive support. You understand the aged care sector, its regulatory requirements, and the importance of quality governance in ensuring safe and effective care.

To be successful in this role, you will have:

  • Proven experience in a Company Secretary, Governance Officer, or Executive Assistant role supporting a CEO or Board.
  • A solid understanding of corporate governance, compliance, and risk management—ideally in an aged care or health setting.
  • Excellent organisational skills with the ability to handle multiple priorities and deadlines.
  • Strong written and verbal communication skills, with attention to clarity and professionalism.
  • High proficiency with Microsoft Office and governance software (e.g., BoardEffect).
  • A discreet, proactive, and collaborative approach to work.
  • A friendly and approachable demeanour and well-developed sense of fun!
  • Desirable:

    • Tertiary qualifications in Business Administration, Corporate Governance, Compliance, or a related discipline.
    • Experience in a not-for-profit aged care organisation or regulated care environment.
