About the Company

We are seeking an experienced and detail-oriented Senior Commercial Real Estate Law Clerk to join our clients legal team. The successful candidate will independently manage a high volume of commercial real estate transactions from file opening through closing and post-closing, while providing exceptional support to lawyers, clients, lenders, and other stakeholders. The ideal candidate will possess extensive knowledge of commercial real estate law, strong organizational skills, and the ability to work effectively in a fast-paced environment.

Key Responsibilities

Transaction Management

  • Manage commercial real estate files from initial opening through closing and post-closing completion.
  • Review and analyze Agreements of Purchase and Sale, amendments, leases, financing documents, and related transaction documents.
  • Conduct title, execution, off-title, and due diligence searches.
  • Identify and resolve title issues, encumbrances, easements, and other registration matters.
  • Prepare and review closing documentation, including transfer documents, statements of adjustments, mortgage documentation, and ancillary closing documents.
  • Coordinate transaction timelines and ensure critical deadlines are met.

Client and Stakeholder Communication

  • Act as a primary point of contact for clients, lenders, municipal offices, opposing counsel, and other parties involved in transactions.
  • Provide regular updates regarding transaction status and outstanding requirements.
  • Coordinate document execution and closing arrangements.

 Due Diligence and Financing

  • Conduct and review due diligence searches, including corporate, tax, zoning, and planning matters.
  • Review lender requirements and prepare financing documentation.
  • Coordinate commercial mortgage transactions, refinancing, acquisitions, dispositions, and development-related matters.

Closing and Post-Closing

  • Prepare trust ledgers, closing funds requisitions, and financial summaries.
  • Register documents electronically through applicable land registration systems.
  • Complete all closing activities, including reporting to clients and lenders.
  • Prepare final reporting packages and ensure proper file organization and retention.

Administrative and Compliance Functions

  • Maintain accurate file records and documentation.
  • Ensure compliance with firm procedures, regulatory requirements, and applicable legislation.
  • Assist with training and mentoring junior law clerks and legal assistants.
  • Support lawyers on complex commercial real estate transactions and special projects.

Qualifications

  • Law Clerk diploma or equivalent legal education.
  • Minimum 7-10 years of experience in commercial real estate law.
  • Extensive experience independently handling commercial real estate transactions from opening to closing.
  • Strong knowledge of land registration systems, title searching, and real estate financing.
  • Experience with acquisitions, dispositions, refinancing, leasing, and development transactions.
  • Proficiency with legal software, document management systems, and Microsoft Office Suite.
  • Excellent communication, organizational, and problem-solving skills.
  • Ability to manage multiple files and deadlines with minimal supervision.

Preferred Skills

  • Experience with complex commercial developments and multi-property transactions.
  • Familiarity with corporate and secured lending matters.
  • Experience mentoring junior staff and contributing to process improvements.
