For more than 50 years, The Skin Hospital (The Skin & Cancer Foundation Australia) has been Australia’s leading centre for dermatological care, education and research.

Operating from two purpose-built accredited hospitals in Sydney (plus clinics in Dubbo), we provide specialist care through more than 20 dedicated skin clinics and over 50 specialist dermatologists. As Australia’s largest dermatology training institution, more than 95% of practising dermatologists in New South Wales have completed part of their specialist training with us.

Our internationally recognised Research and Clinical Trials Unit is at the forefront of advancing treatments for skin disease, supporting our vision to improve the lives of people affected by skin conditions through excellence in patient care, education and research.

About the Role

This is an outstanding opportunity for an experienced Company Secretary to support the Board in maintaining the highest standards of governance, compliance and organisational integrity.

Reporting directly to the Board and working closely with the Chair, Chief Executive Officer and Executive Leadership Team, you will ensure the Foundation meets its statutory and regulatory obligations while supporting effective Board decision-making and best practice governance.

This is a part-time position of approximately 10 hours per week, offering flexibility and hybrid working arrangements.

Key Responsibilities

  • Coordinate all Board and Committee meetings, including agendas, papers, minutes and action tracking.
  • Provide governance advice to the Board, Chair and Executive on constitutional matters, Directors’ duties and governance obligations.
  • Maintain statutory registers and corporate records and ensure all regulatory lodgements are completed accurately and on time.
  • Monitor compliance with relevant legislation, the Constitution, Board policies and governance frameworks.
  • Coordinate Director appointments, inductions, education and governance documentation.
  • Lead the preparation and publication of the Foundation’s Annual Report.
  • Support communications with Foundation Members and oversee governance requirements relating to Annual General Meetings.
  • Assist with continuous improvement of governance policies, processes and Board effectiveness.

About You

You are an experienced governance professional who enjoys working collaboratively with Boards and senior executives and is committed to supporting organisations that make a meaningful difference.

You will bring:

  • Extensive experience as a Company Secretary or in a senior governance role.
  • Qualifications in law, governance, business or a related discipline, with AICD and/or Governance Institute of Australia qualifications highly regarded.
  • Demonstrated knowledge of the Corporations Act, ACNC governance requirements and contemporary governance principles.
  • Experience supporting Boards and Board Committees in a complex organisation.
  • Exceptional written communication and minute-taking skills.
  • Strong organisational skills with the ability to manage competing priorities and strict deadlines.
  • Highly developed interpersonal skills with the confidence to build trusted relationships with Directors and senior executives.
  • High levels of integrity, discretion and professional judgement.
  • Experience within healthcare, hospitals or the not-for-profit sector will be highly regarded.
