Description

Solvd is seeking an experienced Corporate Governance & Legal Affairs Manager to join our team and help strengthen the way we manage legal, regulatory and enterprise risk across the organisation. This position is an influential leadership role spanning legal affairs, corporate governance, risk and regulatory compliance.

This is a broad, hands-on role for someone who can move comfortably between strategic advice and practical delivery. You will partner closely with senior leaders, operational teams and regional and global stakeholders to provide clear, commercially focused guidance that supports confident and well-informed decision-making.

You will play a key role in shaping our governance and compliance approach, managing complex legal and regulatory matters, and embedding effective risk practices across the business.

What You’ll Be Responsible For

  • Acting as a trusted advisor to senior leaders on legal, governance, risk and compliance matters.
  • Providing practical, commercially focused advice across business operations, projects and strategic initiatives.
  • Leading and maintaining risk, compliance and governance frameworks, policies, controls and reporting.
  • Supporting the organisation’s Australian Financial Services Licence obligations, including compliance requirements, systems and controls.
  • Managing reportable situations assessments, breach registers and regulatory reporting to ASIC.
  • Leading compliance across key insurance and financial services obligations, including complaints and dispute resolution, breach reporting, vulnerable customer requirements and operational risk management.
  • Drafting, reviewing and negotiating commercial contracts and other legal documentation.
  • Advising on legal and commercial risks, disputes, complaints, investigations and litigation matters.
  • Monitoring regulatory developments and translating changes into clear actions for the business.
  • Overseeing governance forums, committee processes and management reporting.
  • Partnering with local, regional and global stakeholders to ensure Australian regulatory and corporate obligations are understood and met.
  • Driving continuous improvement across legal processes, contract management, reporting, systems and knowledge management.
  • Delivering practical education and guidance to strengthen legal, compliance and risk awareness across the organisation.

What You’ll Bring

  • Approximately 5 years’ post-qualification experience (PQE) gained in private practice, in-house, or a combination of both, ideally within financial services, insurance, superannuation, or another regulated industry.
  • Strong foundation in commercial law, contracting, legal risk management, and general corporate advisory work.
  • Demonstrated experience within an AFSL holder or other regulated entity, including direct responsibility for regulatory reporting and engagement with a regulator.
  • Experience advising on regulatory, governance, procurement, employment, or dispute-related matters will be viewed favourably.
  • Demonstrated ability to manage a broad legal workload, prioritise effectively, and deliver timely, practical advice in a fast-paced environment.
  • Proven ability to work with senior stakeholders and translate complex legal issues into clear, commercially relevant recommendations.
  • Qualified lawyer holding, or eligible to hold, a current practising certificate in the relevant Australian jurisdiction.
  • Experience with the GICOP, ASIC RG 271, AFCA and CPS 230 will be highly regarded.
