About Bobby Goldsmith Foundation

Bobby Goldsmith Foundation (BGF) is Australia’s oldest community-based HIV organisation, providing client services and health promotion programs in NSW and SA. We provide direct practical assistance, emotional support, financial counselling, and housing advocacy to people living with HIV. We specialise in supporting people living with HIV and the broader LGBTQIA+ community, however, as an NDIS registered organisation, BGF is proud to offer disability supports to people from all backgrounds and walks of life, regardless of HIV status, sexual orientation and gender identity.

About the Role

Directors of the Board (Board) at BGF serve a two-year term and are expected to comply with their duties under the BGF’s Constitution, relevant legislation, common law, and Governance Standard 5 of the Australian Charities and Not-for-profits Commission Act 2012 (Cth).

The roles are voluntary and assist in overseeing the organisation’s direction and operations and providing support and guidance to the Chief Executive Officer and the Executive Management team to execute their duties.

The principal responsibility of the Board is to oversee governance and ensure the organisation’s strategic alignment and compliance. Key responsibilities within the role encompass:

• Ensuring the financial viability, solvency, and sustainability of the Foundation.

• Providing strategic leadership and direction of the organisation.

• Operating the organisation within its legal mandate and Constitution.

• Effective management of risk.

• Ensuring an appropriate framework is in place to effect compliance with applicable legislation, regulation, policies, and procedure.

• Being an active contributor with a genuine interest in the organisation.

• Promoting and attending both annual fundraising and community events and sharing them to their personal and professional networks.

About You

Currently, BGF operates a balanced, skills-based Board and are seeking expressions of interest from individuals with demonstrated expertise and experience in one or more of the following areas:

• (STRONGLY SOUGHT) Health – clinical care delivery and/or administrative and governance experienced specifically in an aged care context.

• Law – commercial or NFP.

• Accounting/finance – CPA qualified.

You are highly collaborative, driven and committed to the cause. Your values and vision align with those of BGF with a passion for wanting to help, inspire, empower and lead people and communities to support vulnerable people.

Ideally, you will possess a majority of the following:

• Extensive community-based NFP experience.

• Able to analyse and discuss issues of strategy, policy, and organisational process.

• Actively participate in the discussions and deliberations of the Board, with critical thinking and constructive questioning skills.

• Proven budgeting, risk, and planning skills.

• High level communication skills.

• Previous Board experience or AICD qualifications (desirable).

Meetings

There are approximately five board meetings held per year.

Board members are expected to sit on at least one of the following committees, which meet up to four times per year:

• Finance & Audit Committee

• Investment Committee

• Board Nominations &Governance Committee

• Client Services Governance Committee
